Terms of Use

These Terms of Use ("Terms") govern your access to and use of all software, services, mobile applications, web applications, SaaS platforms, marketplaces, AI-powered tools, and any related content or features (collectively, the "Services") provided by Quantivant, Inc. ("Quantivant," "we," "us," or "our"), including all products owned by Quantivant regardless of whether they operate under alternative trade names, DBAs (Doing Business As), or other branding. By accessing or using any of the Services, you agree to be bound by these Terms. If you do not agree, you must not access or use the Services.

1. Scope and Applicability

These Terms apply uniformly to all Quantivant-owned products and Services, including those marketed or operated under different trade names or DBAs. This ensures consistent governance across our entire portfolio, from core SaaS solutions and marketplaces to AI-powered content creation applications. If a specific product has supplementary terms (e.g., addendums for unique features), those will be provided separately and incorporate these Terms by reference.

2. Eligibility

You must be at least 18 years old or the age of majority in your jurisdiction to use the Services. By using the Services, you represent and warrant that you meet these requirements, have the legal capacity to enter into these Terms, and are not barred from using the Services under applicable laws.

3. Account Registration and Security

Many Services require creating an account. You agree to provide accurate, current, and complete information during registration and to keep it updated. You are solely responsible for maintaining the confidentiality of your account credentials (e.g., passwords, API keys) and for all activities occurring under your account, including unauthorized access. Implement strong security practices, such as multi-factor authentication where available. Notify us immediately at [support@quantivant.com] of any suspected breach. We reserve the right to suspend, terminate, or restrict accounts for violations of these Terms, suspicious activity, or at our discretion.

4. License Grant and Restrictions

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services for your personal or internal business purposes only. This includes:

  • SaaS platforms: Subscription-based access to features like productivity tools, data analytics, and workflow automation.

  • Marketplaces: Participation as a user, buyer, seller, or service provider, subject to marketplace-specific guidelines (e.g., listing rules, transaction protocols).

  • AI-Powered Tools: Use of generative AI for content creation (e.g., text, images, videos), predictive modeling, or personalization, limited to non-commercial outputs unless otherwise specified.

You may not:

  • Modify, adapt, translate, reverse-engineer, decompile, disassemble, or derive source code from the Services.

  • Create derivative works or competitive products based on the Services.

  • Remove, alter, or obscure any proprietary notices, trademarks, or branding.

  • Use the Services for illegal, harmful, or unauthorized purposes, including generating content that infringes intellectual property, promotes hate, or violates laws.

  • Interfere with the Services' operation, such as through DDoS attacks, malware injection, scraping, or excessive API calls exceeding rate limits.

  • Resell, rent, lease, or distribute the Services without our express written consent.

  • Use AI tools to create deceptive, fraudulent, or harmful content (e.g., deepfakes without disclosure).

  • Export or re-export the Services in violation of export control laws (e.g., U.S. EAR or ITAR).

Violations may result in immediate termination and potential legal action.

5. User Content and Conduct

You retain ownership of any content you upload, submit, or generate using the Services ("User Content"), including AI-generated outputs. By providing User Content, you grant us a worldwide, perpetual, irrevocable, royalty-free, sublicensable license to host, store, display, modify, distribute, and use it as necessary to operate, improve, and promote the Services (e.g., for AI model training on anonymized data, subject to our Privacy Policy).

You represent and warrant that your User Content:

  • Does not infringe third-party rights (e.g., copyrights, trademarks, privacy).

  • Complies with all applicable laws and these Terms.

  • Is not abusive, defamatory, obscene, or otherwise objectionable.

In marketplaces, you must:

  • Provide accurate listings, descriptions, and pricing.

  • Fulfill transactions promptly and honor commitments.

  • Not engage in fraudulent activities, such as shilling or bid manipulation.

We may monitor, moderate, or remove User Content at our sole discretion without liability. You are responsible for backing up your User Content.

6. Payments, Subscriptions, and Fees

SaaS subscriptions are billed on a recurring basis (e.g., monthly, annually) through secure, PCI DSS-compliant payment processors. Marketplace transactions may involve commissions, transaction fees, or escrow services. AI tool usage may include metered billing based on API calls, compute resources, or output volume.

All fees are non-refundable except as required by law or our refund policy. You authorize us to charge your payment method for applicable fees. We may adjust pricing with notice. Late payments accrue interest at 1.5% per month or the maximum allowed by law. We are not liable for third-party payment processor errors or disputes.

7. Intellectual Property

All intellectual property in the Services—including code, algorithms, AI models, databases, UI/UX designs, trademarks, patents, and trade secrets—is owned by Quantivant or its licensors. These Terms do not transfer any ownership rights. AI-generated outputs may incorporate our proprietary elements and are licensed to you solely for permitted uses. You may provide feedback on the Services, which we may use without obligation or compensation.

8. Data Usage, Analytics, and AI Training

We collect and analyze usage data to maintain and enhance the Services, including through anonymized telemetry, machine learning models, and predictive algorithms. This may involve processing User Content for AI improvements (e.g., fine-tuning models on aggregated datasets). See our Privacy Policy for detailed data practices.

9. Third-Party Integrations and Links

The Services may integrate with or link to third-party services (e.g., cloud providers, payment gateways, external APIs). We are not responsible for their availability, security, or content. Your use of third-party services is governed by their terms.

10. Disclaimers and Limitations of Liability

The Services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, or uninterrupted operation. We do not guarantee the accuracy, completeness, or reliability of AI-generated content or marketplace transactions.

To the fullest extent permitted by law, Quantivant shall not be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, data loss, or business interruption, even if advised of the possibility. Our total liability shall not exceed the fees you paid us in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless Quantivant, its affiliates, officers, directors, employees, and agents from any claims, losses, liabilities, or expenses arising from your use of the Services, User Content, violations of these Terms, or infringement of third-party rights.

12. Termination and Suspension

We may terminate or suspend your access to the Services at any time, with or without cause, including for breaches of these Terms. Upon termination, all licenses cease, and you must delete or destroy any copies of the Services or related materials. Sections surviving termination include 5 (User Content license), 7 (Intellectual Property), 10 (Disclaimers), 11 (Indemnification), and 14 (Governing Law).

13. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes via email, in-app notices, or on our website. Continued use after changes constitutes acceptance. Review these Terms periodically.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of laws principles. Any disputes shall be resolved exclusively through binding arbitration under the American Arbitration Association (AAA) rules in Wilmington, Delaware, except for injunctive relief, which may be sought in court. You waive any right to class actions.

15. Miscellaneous

These Terms constitute the entire agreement between you and Quantivant, superseding prior agreements. If any provision is unenforceable, the remainder remains in effect. No waiver of any breach shall constitute a waiver of subsequent breaches. Force majeure events (e.g., natural disasters, cyber attacks) excuse performance delays.
